Item 5.02      Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 14, 2014, James T. Dalton, Ph.D., Vice President, Chief Scientific Officer of GTx, Inc. (“GTx” or the “Company”) notified the Company of his decision to resign from his employment with GTx, effective August 31, 2014. Dr. Dalton is leaving GTx to become Dean of the University of Michigan College of Pharmacy. GTx currently expects to engage Dr. Dalton as a consultant to the Company following his employment termination date, on terms to be discussed and approved by the Compensation Committee of Company’s Board of Directors.
