Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On June 21, 2016, GTx, Inc. (the Company) received a letter from the staff (the Staff) of The NASDAQ Stock Market LLC (Nasdaq) notifying the Company that the Company is eligible for an additional 180 calendar day period, or until December 19, 2016, to regain compliance with the minimum $1.00 bid price per share requirement for continued listing on The NASDAQ Capital Market under Nasdaq Listing Rule 5550(a)(2) (the Bid Price Rule). In the letter, the Staff noted that the Companys common stock had not regained compliance with the Bid Price Rule during an initial 180-day compliance period that ended on June 20, 2016 and that the Company had submitted written notice of its intention to cure the Bid Price Rule deficiency by effecting a reverse stock split prior to December 19, 2016, if necessary. To regain compliance with the Bid Price Rule, the closing bid price of the Companys common stock must be at least $1.00 per share for a minimum of 10 consecutive business days at any time during this additional 180-day compliance period. If the Company regains compliance with the Bid Price Rule, Nasdaq will provide the Company with written confirmation of compliance and will close the matter.
If the Company does not regain compliance with the Bid Price Rule by December 19, 2016, the Staff will provide written notification to the Company that its common stock will be delisted. At that time, the Company may appeal the Staffs delisting determination to a Hearings Panel (the Panel). There can be no assurance that, if the Company does appeal any delisting determination by the Staff to the Panel, such appeal would be successful.
The Company intends to continue to monitor the bid price of its common stock and will consider options available to it to potentially achieve compliance.
